You acknowledge and agree that CIS may share your contact information with verified users of the Service for business-related purposes, including but not limited to:

1. Project bids and proposal requests
2. Vendor and contractor connections
3. Networking and industry-related communications
4. Other business opportunities relevant to the construction industry

If you do not wish to have your contact information shared with other users, you may opt out by emailing privacy@cisleads.com. However, opting out may limit certain platform functionalities and business opportunities available to you.

4. Website Content.

You acknowledge and agree that all content of our website, such as articles, text, graphics, images, links, and other material, as well as any support materials (e.g., newsletters and books) (collectively, “Content”) is protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. You agree that as between you and CIS, CIS is the owner of all such Content. You may not reproduce, distribute, republish or retransmit any Content without the prior written permission of CIS. Except as expressly authorized by CIS, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from such materials or Content. Notwithstanding the above, you may print or download one copy of the Content on any single computer for your personal, non-commercial use, provided you keep intact all copyright and other proprietary notices. You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other material (“Submissions”), whether publicly posted or privately transmitted, on our website, are the sole responsibility of the person from whom such Submissions originated. CIS does not control the Submissions posted by third parties via our website and, as such, does not guarantee the accuracy, integrity or quality of such Submissions. This means that you and not CIS are entirely responsible for all Submissions that you upload, post, email or otherwise transmit via our website. 7. Submissions Submitted by You

You hereby grant CIS the world-wide, royalty free, perpetual, irrevocable, non-exclusive and fully sublicensable right and license to reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Submissions (in whole or in part), in any form, media, or technology now known or later developed. You further agree that CIS may commercialize any Submissions, and any concepts, information and inventions contained therein, without further compensation to you.

You acknowledge and agree that CIS may preserve Submissions and may also disclose Submissions if required to do so by law or in good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms; (c) respond to claims that any Submissions violate the rights of third parties; or (d) protect the rights, property, or personal safety of CIS, its users and the public.

8. Permitted Use

Our Service provides access to a directory of verified industry professionals, including contractors, vendors, and service providers. You may use the Service solely for legitimate business purposes related to the construction industry, such as (a) sending project bids and proposal requests; (b) establishing vendor and contractor connections; (c) networking and industry-related communications; and (d) other lawful business outreach relevant to the directory contacts.

9. Prohibited Use

You shall not use the Service to:

1. Use contact information for personal, promotional, or non-construction-related purposes.
2. Sell, distribute, or share directory contact information with third parties without explicit consent from CIS.
3. Send unsolicited commercial emails, bulk messaging, or spam in violation of the CAN-SPAM Act, privacy laws, or other applicable laws.
4. Engage in fraudulent, deceptive, or misleading communications.
5. Use automated systems (e.g., bots, scrapers) to collect or extract contact data from the directory.
6. upload, post, email or otherwise transmit any Submissions that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements;
7. upload, post, email or otherwise transmit any Submissions that infringe any patent, trademark, trade secret, copyright or other proprietary rights (“Rights”) of any party;
8. upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or
9. interfere with or disrupt our website or servers or networks connected to our website, or disobey any requirements, procedures, policies or regulations of networks connected to our website.

If we suspect you are misusing the Service or not complying with these Terms of Use, we reserve the right to restrict or revoke access to the Service, notify law enforcement, or take legal action, if applicable.

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES CIS’S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

12. Representations and Warranties

You represent, warrant and covenant that: (a) you have the power and authority to enter into this agreement; (b) you are at least eighteen (18) years old; (c) you shall not use any rights granted hereunder for any unlawful purpose; and (d) you shall use the Service in accordance with applicable law and these Terms of Use.

13. Indemnity

You agree to indemnify and hold CIS and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including attorneys’ fees, made by any third party due that arise from your use or misuse of this site, or breach of any warranty, covenant, representation or term contained in these Terms. CIS reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with CIS in asserting any available defenses.

14. International Use

CIS makes no representation that materials or Content on our website are appropriate or available for use in locations outside the United States. Accessing the Service in territories where the Contents or materials are illegal is prohibited. If you access our website or use our Service from other locations, you do so on your own initiative and you are responsible for compliance with local laws. You agree to comply will all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

CIS reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, some or all of the Service, with or without notice. You agree that CIS shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New Jersey, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction and venue for any claim or action arising out of or relating to these Terms or your use of the Service shall be filed only in the state or federal courts located in the State of New Jersey, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

This agreement constitutes the entire agreement between you and CIS with respect to the Service and supersedes all prior or contemporaneous communications and proposals, whether oral, written, or electronic, between you and CIS with respect to the Service. If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

18. Termination

In the event you breach any provision of these Terms, or for any other reason or no reason at all, the CIS may, in its sole discretion, terminate your access to all or part of the Service including, without limitation, your account, with or without notice.
